TERMS OF SERVICE AND CONDITIONS OF SALE

These Terms of Service and Conditions of Sale govern access to this website and purchases made from ULTIMA VINTAGE WHOLESALE.

Please read them before placing an order. Mandatory consumer rights prevail over any inconsistent provision in these Terms.

  1. Definitions and Customer status

A “Consumer” is a natural person acting for purposes outside their trade, business, craft or profession.

A “Business Customer” is a person or entity purchasing wholly or mainly for professional or commercial purposes.

The store serves both categories and sells mainly to private consumers.

The use of “wholesale,” the weight or quantity of an order and the request for an invoice do not by themselves determine Customer status. The actual purpose of the purchase is relevant.

  1. Eligibility and account information

You must have the legal capacity to enter into a binding contract.

If you are under the age required by applicable law, an authorised parent or guardian must place the order.

You are responsible for ensuring that account, billing, delivery and contact information is complete and accurate and for keeping any account credentials secure.

  1. Products, vintage condition and grading

Our stock consists mainly of vintage and second-hand clothing sold individually, in Boxes, in Mixes or by weight.

Previous wear, fading, repairs, small marks, fabric variation and other age-related characteristics may be expected where consistent with the stated grade and product description.

Grading is performed manually. The individual product page forms part of the contract. Customers must read the stated grade, permitted condition range, Box weight, category and any disclosed tolerance or Mix before ordering.

Where a description allows a limited proportion of lighter Grade B characteristics within a Grade A Mix, that composition forms part of the agreed product description.

Grade B garments may contain visible marks, fading, signs of wear, small holes, damaged stitching, missing minor components or other disclosed, potentially repairable defects.

Severely damaged, unusable and counterfeit items are intentionally excluded from standard selections. This quality-control statement does not remove mandatory remedies if the delivered goods fail to conform to the contract.

Unless expressly stated otherwise, photographs of Boxes and Mixes are representative and do not show the exact garments supplied.

Brands, garment count, sizes, colours, materials, styles and patterns vary according to garment weight and available stock.

A preference or request is not guaranteed unless we expressly accept it in writing as part of the order.

  1. No resale or profit guarantee

Descriptions such as “wholesale,” “resale,” “best seller” or references to product categories describe the commercial format or intended use.

They do not constitute a promise or guarantee of resale price, turnover, margin, market demand or profit.

Customers remain responsible for their own resale decisions, commercial obligations and market assessment.

  1. Prices, taxes and payment

The price, applicable taxes, shipping charge and total amount payable are displayed before the order is submitted.

Prices are shown in the currency indicated on the store.

Payment must be made through one of the available checkout methods. Payment providers may conduct authorisation, security and fraud-prevention checks under their own terms and privacy notices.

If a pricing or product-information error is obvious, we may contact the Customer before acceptance to request confirmation at the correct price or cancel and refund the affected order. We will not charge a corrected price without the Customer’s agreement.

  1. Invoices

If you require an invoice, request it at checkout or contact us immediately when placing the order and before the tax document is issued.

Provide the complete legal name or company name, billing address, VAT number and/or tax code and, where applicable, the SDI recipient code or PEC address.

Requests or corrections received after the relevant tax document has been issued may not be possible under applicable tax rules.

Requesting an invoice does not automatically transform a private consumer purchase into a Business Customer transaction.

  1. Order process and contract formation

Before submitting an order, the Customer can review and correct the selected products, quantities, delivery information and total price.

Submitting the order constitutes an offer to purchase. The contract is concluded when we send confirmation accepting the order.

Orders remain subject to availability and reasonable payment and security verification.

If stock is unavailable, payment cannot be authorised or we cannot fulfil an order, we will notify the Customer and refund any amount collected for the cancelled product without undue delay.

  1. Custom and bulk orders

Large, custom and 500 kg+ orders may be subject to a written quotation, special preparation time, freight arrangements and agreed specifications.

A Consumer’s statutory right of withdrawal is excluded for made-to-specification or clearly personalised goods only where the relevant legal exception genuinely applies and the exclusion was clearly disclosed before the order.

A standard category preference, ordinary stock selection, grade selection or weight option does not automatically make an order customised or non-returnable.

  1. Shipping, delivery and risk

Shipping destinations, charges, preparation times and delivery information are set out in our Shipping Policy and displayed at checkout where applicable.

Risk passes in accordance with mandatory law.

Customers must provide a deliverable address and cooperate with reasonable delivery requirements for heavy or palletised shipments.

  1. Consumer withdrawal and refunds

Consumers may exercise the 14-day right of withdrawal and receive refunds in accordance with our Return & Refund Policy and applicable law.

Each Box or Mix sold as one complete product must be returned with all of its contents if withdrawal is exercised for that product.

Missing, substituted, washed, altered, damaged or excessively used garments may result in a proportionate and documented reduction for diminished value.

This does not affect the ability to withdraw from only some separately priced products in a multi-product order where permitted by law.

  1. Legal guarantee of conformity

Consumers benefit from the statutory legal guarantee of conformity for the period and remedies required by the mandatory law applicable to the transaction.

The condition reasonably expected from second-hand goods is assessed by taking account of their age, previous use, description, grade, price and other information communicated before purchase.

A disclosed and accepted vintage characteristic, sign of wear or grade feature is not automatically a lack of conformity.

However, the goods must still correspond to the agreed description, type, quantity, quality and other contractual requirements.

Nothing in these Terms excludes or reduces rights that cannot lawfully be excluded.

  1. Promotions and discount codes

Promotions, vouchers and discount codes are subject to their stated conditions, validity dates, product eligibility and availability.

Unless expressly stated otherwise, they cannot be combined, exchanged for cash or applied retrospectively.

Mandatory refunds are calculated according to the amount actually paid for the affected product.

  1. Acceptable use and intellectual property

Website content—including text, graphics, logos, photographs, layout and design—is owned by us or used under licence and is protected by applicable intellectual-property law.

You may use the website for lawful personal or business purchasing purposes.

You must not interfere with the store’s security, introduce malicious code, impersonate another person, scrape the website unlawfully or use content in a manner that infringes the rights of ULTIMA VINTAGE WHOLESALE or third parties.

  1. Third-party services

The store is hosted on Shopify and may use third-party payment, delivery, analytics, communication and other service providers.

Those providers may apply separate terms and privacy notices.

External links are provided for convenience. We do not control third-party content, availability, terms or privacy practices.

  1. Liability

We are responsible for loss and damage to the extent required by applicable law.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct, death or personal injury caused by negligence or mandatory consumer rights.

We are not responsible for indirect commercial loss, loss of resale opportunity or loss of profit suffered by a Business Customer, except where liability cannot lawfully be limited.

  1. Events outside reasonable control

We are not responsible for delay or failure caused by circumstances outside our reasonable control, provided that we take reasonable steps to limit their effects and comply with mandatory consumer remedies.

If such an event significantly affects a consumer order, we will communicate the options available under applicable law.

  1. Governing law and disputes

These Terms are governed by Italian law.

If you are a Consumer resident in another country, you retain the protection of mandatory provisions applicable in your country of habitual residence and any jurisdiction rights that cannot be waived.

Consumers may bring proceedings before the courts competent under applicable consumer law.

Disputes involving Business Customers are subject to the courts determined by applicable Italian procedural rules, unless a valid written agreement provides otherwise.

The former European Commission Online Dispute Resolution platform has been discontinued and is not presented as an active dispute channel. This does not affect the right to use a competent alternative dispute-resolution body where applicable.

  1. Changes and severability

We may update these Terms prospectively when our services, laws or operational practices change.

The version in force when an order is placed governs that order, unless a mandatory rule requires otherwise.

If one provision is found invalid or unenforceable, the remaining provisions continue to apply.
